Website Terms and Conditions of Use Relating to www.citysoiree.co.za
These Terms and Conditions (“the Terms and Conditions”) govern your (“the User”) use of the City Soirée (“Provider”) website located at the domain name www.citysoiree.co.za (“the Website”). By accessing and using the Website, the User agrees to be bound by the Terms and Conditions set out in this legal notice.

Electronic Communications
By using this Website or communicating with the Provider by electronic means, the user consents and acknowledges that any and all agreements, notices, disclosures, or any other communication satisfies any legal requirement, including but not limited to the requirement that such communications should be in writing.

Independent Event Organisers
Event organisers who use the services and the Website of the Provider to facilitate an event are governed as a User by these Terms and Conditions. Independent Event Organisers are fully responsible for the execution of their event as well as the safety of attendees and any users who purchased tickets via the Website. The Independent Event Organiser indemnifies and holds the Provider harmless against any loss, injury or damages which may be sustained as a result of hosting any events facilitated through the Website.
The Provider may share names, surnames and contact details of Users with the Independent Event Organiser at the Provider’s discretion. The Independent Event Organiser will be responsible for the safe-keeping and privacy of the User’s information and may not share, sell or make it known to third parties.

City Soirée Fees & Commission
Independent Event Organisers who use the services and the Website of the Provider to facilitate an event agree to the Provider’s fee of ZAR650 for events with a total number of pledges received and tickets sold up to and including one hundred and fifty (150). Events with a total number of pledges received and tickets sold over but not including one hundred and fifty (150), and up to and including a maximum of two hundred and fifty (250) will be charged a 7% commission on the gross price per pledge and ticket over but not including one hundred and fifty (150) over and above the Provider’s fee of ZAR650. Events with a projected number of attendees of more than two hundred and fifty (250) will be accepted on a case-by-case basis. As an exception to this Homemade workshops carry a lower fee of ZAR290 per event.

E-Commerce & Privacy
The Website allows users to pledge or buy tickets to events online. Pledging or buying a ticket from this Website is at the purchaser’s risk. The purchaser/user indemnifies and holds the Provider harmless against any loss, injury or damages which may be sustained as a result of attending any events facilitated through the Website.
The private information required for executing the orders placed through the e-commerce facility, namely the User’s personal information, credit card details and telephone numbers will be kept in the strictest confidence by the Provider and not sold or made known to third parties.
The User’s name and contact details, however, may be shared with independent event organisers who make use of the Provider’s services and Website to facilitate an event, concert, or other gathering. The Provider can not be held liable for the User’s information once it is shared with the Independent Event Organiser. Credit card details are not kept by the Provider under any circumstances.
The Provider cannot be held responsible for security breaches occurring on the User’s electronic device (Personal Computer or other electronic device used to browse the Website), which may result due to the lack of adequate virus protection software or spyware that the User may inadvertently have installed on his/her device.

Online Payment – PayFast – Payment Gateway
All online credit card, cheque card and EFT payments are processed by PAYFAST. Card Holders may go to www.payfast.co.za to view PayFast’s security policies.

Refund and Return Policy
The provision of pledging is that an event has to be confirmed. In cases of an event not being confirmed (reaching the targeted number of pledges) the Provider will refund the client in full, within 14 days of the event’s last day of pledging.
Once an event is confirmed additional tickets may be sold. Ticket sales may be more expensive compared to the original pledge amount.
If an event is confirmed a pledge or ticket cannot be reimbursed. If the user cannot attend the event for some reason City Soirée’s will not reimburse the user.
If a user wishes to give his/her ticket to a friend he/she may do this, however City Soirée will not allow ‘scalping’ or excessive black market sales of tickets for events.
Cancellation of events due to any unforeseen circumstances, such as artist sickness or weather will be handled per individual case. City Soirée will endeavor to rearrange the date of said event or provide tickets to another show of equal or greater value. In the event of this offer not being acceptable to the user, he/she may request a refund, which City Soirée will reimburse in full within 14 days.
Any complaints regarding the standard or quality of any events organized by City Soirée through the e-commerce facility should be directed to City Soirée, Unit 10, 58 Milner Rd, Woodstock, 7925 or info(at)citysoiree.co.za.

Updating of these Terms and Conditions
The Provider reserves the rights to change, modify, add or remove from portions or the whole of these Terms and Conditions from time to time. Changes to these Terms and Conditions will become effective upon such changes being posted to this Website. It is the User’s obligation to periodically check these Terms and Conditions at the Website for changes or updates. The User’s continued use of this Website following the posting of changes or updates will be considered notice of the User’s acceptance to abide by and be bound by these Terms and Conditions, including such changes or updates.

Copyright and Intellectual Property Rights
The Provider provides certain information on the Website. Content currently or anticipated to be displayed at this Website is provided by City Soirée, its affiliates and/or subsidiaries, or any other third party owners of such content, and includes but is not limited to Literary Works, Musical Works, Artistic Works, Sound Recordings, Cinematograph Films, Sound and Television Broadcasts, Program-Carrying Signals, Published Editions and Computer Programs (“the Content”). All such proprietary works, and the compilation of the proprietary works, are copyright of City Soirée, its affiliates or subsidiaries, or any other third party owner of such rights (“the Owners”), and is protected by South African and international copyright laws. The Provider reserves the right to make any changes to the Website, the Content, or to products and/or services offered through the Website at any times and without notice. All rights in and to the Content is reserved and retained by the Owners. Except as specified in these Terms and Conditions, the User is not granted a license or any other right including without limitation under Copyright, Trademark, Patent or other Intellectual Property Rights in or to the Content.

Limitation of liability
The Website and all Content on the Website, including any current or future offer of products or services, are provided on an “as is” basis, and may include inaccuracies or typographical errors. The Owners make no warranty or representation as to the availability, accuracy or completeness of the Content. Neither Provider nor any holding company, affiliate or subsidiary of Provider, shall be held responsible for any direct or indirect special, consequential or other damage of any kind whatsoever suffered or incurred, related to the use of, or the inability to access or use the Content or the Website or any functionality thereof, or of any linked website, even if Provider is expressly advised thereof.

Privacy: Casual surfing
The User may visit the Website without providing any personal information. The Website servers will in such instances collect the IP address of the User computer, but not the email address or any other distinguishing information. This information is aggregated to measure the number of visits, average time spent at the Website, pages viewed, etc. City Soirée uses this information to determine use of the Website, and to improve Content thereon. The Provider assumes no obligation to protect this information, and may copy, distribute or otherwise use such information without limitation.

Choice of Law
This Website is controlled, operated and administered by City Soirée from its offices within the Republic of South Africa. If any of the provisions of these Terms and Conditions are found by a court of competent jurisdiction to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible so as to give effect to the intent of these Terms and Conditions, and the remainder of these Terms and Conditions shall continue in full force and effect. These Terms and Conditions constitute the entire agreement between the City Soirée and the User with regard to the use of the Content and this Website.
